What happened

An affiliate of private equity firm H.I.G. Capital signed a definitive agreement to sell its portfolio company General Datatech (GDT) to an affiliate of Softcat plc, the London-listed IT reseller and services provider, H.I.G. announced on September 17, 2026. The deal values GDT at an enterprise value of $1.05 billion.

GDT was founded in 1996 and is headquartered in Dallas. It provides infrastructure and services to enterprises, with practices in networking, hybrid cloud and data center, cybersecurity and collaboration. H.I.G. invested in 2021. According to the release, GDT doubled its EBITDA during H.I.G.'s ownership, opened a center of excellence in Bangalore and expanded its AI and cybersecurity work. The release does not give revenue or headcount.

The transaction is subject to customary closing conditions and is expected to close by the end of the first quarter of 2027. Guggenheim Securities and Moelis & Company served as financial advisors, and Kirkland & Ellis acted as legal counsel to H.I.G. and GDT. GDT chair and CEO Shawn O'Grady called H.I.G. "an outstanding partner to GDT."

What it means for the books

Most MSPs are far smaller than GDT, but the release highlights the figure buyers and sellers anchor on: EBITDA growth over the holding period. Owners who expect to sell or recapitalize at some point benefit from monthly financials that show EBITDA consistently, with owner compensation, one-time costs and non-operating items clearly separated.

The deal also crosses borders, with a U.K. acquirer buying a U.S. company that runs an offshore center. MSPs with staff or subsidiaries in other countries can review whether intercompany charges, transfer pricing documentation and foreign currency accounts are recorded in a way an outside reviewer could follow.

For MSPs that buy from or partner with either company, the long period before closing is a reasonable time to note contract owners and renewal dates in case contracting entities change later.
